Terms of Service

These terms cover your use of Counterpoint (“the Service”), software for running a cafe or restaurant: table-side ordering, kitchen display, billing and reporting. By creating an account you agree to them.
1. Who this is between
The Service is operated by the owner of orbixot.com (“we”). “You” means the business that signs up and the people it authorises to use the Service.
2. Your account
- You are responsible for everything done under your account, including by your staff.
- Keep passwords and staff PINs confidential. Tell us promptly if you think an account has been compromised.
- You must be authorised to act for the business you register.
- One account per business. Outlets are added within an account, not as separate signups.
3. What we provide
Access to the Service during your subscription, as it exists at the time. We add and change features. If we remove something you depend on, we will give reasonable notice.
We do not guarantee uninterrupted service. Software, servers and networks fail. Plan for that: keep a way to take orders and payment if the Service is unavailable.
4. Your data belongs to you
- Your menu, orders, bills, customers and staff records are yours.
- We process them to run the Service for you, and for no other purpose.
- You can export your data at any time, and on request after you leave.
- We do not sell your data or your customers’ data. Ever.
5. Money
Subscription
Billed per outlet, in advance. Prices are shown on the pricing page and may change with 30 days’ notice. Taxes are additional where applicable.
Your customers’ payments
Money your guests pay goes to you, not through us. We take no commission on your orders. Where an online payment gateway is used, that relationship is between you and the gateway, and their terms govern it.
Tax
The Service computes tax from the rates you configure. Setting them correctly, and complying with GST or any other tax obligation, is your responsibility. We are not your tax adviser.
6. Acceptable use
You may not:
- Use the Service unlawfully, or to sell anything you are not licensed to sell.
- Attempt to access another business’s data.
- Probe, scan or overload the Service, or work around its limits.
- Resell or white-label the Service without a written agreement.
We may suspend an account that is doing any of these, or that is not paid up. Where we can, we will contact you first.
7. AI features
Some features use a third-party language model: drafting menu descriptions, reading an uploaded menu, and answering questions about your own figures.
- They produce suggestions, not facts. Check anything before you rely on it — particularly prices and allergen information.
- Nothing is written to your menu without you confirming it.
- Text you submit is sent to the model provider to generate a response. We do not use your data to train models.
- These features are optional and can be switched off.
8. Availability and support
We aim for high availability but do not currently offer a contractual uptime guarantee. Support is by email at support@orbixot.com, answered during Indian business hours.
9. Ending it
- You can cancel at any time. See the refund policy.
- We can end an account for a serious or repeated breach of these terms.
- After cancellation, your data stays available for export for 30 days, then is deleted.
10. Liability
The Service is provided as-is. To the extent the law allows, we are not liable for lost profits, lost data, or business interruption. Our total liability in any 12-month period is limited to what you paid us in that period.
Nothing here limits liability for fraud, or for anything that cannot be limited by law.
11. Changes
We may update these terms. For material changes we will give notice in the app or by email before they take effect. Continuing to use the Service means you accept them.
12. Law
These terms are governed by the laws of India, and the courts of Bengaluru, Karnataka have exclusive jurisdiction.
